MSA (Master Service Agreement)
MASTER SERVICE AGREEMENT (MSA)
Between: NorCharge (IMG AS) – “The Supplier” [Customer] – “The Customer”
1. Purpose
This Agreement governs the delivery of electric charging equipment, installation services, CPMS operation, maintenance, and support provided by NorCharge in Norway, Sweden, Finland, and Denmark.
2. Scope of Services
The Supplier provides:

AC and DC chargers from Vestel, XCharge, and Heliox
-
Vestel battery energy storage systems
-
Installation and commissioning
-
Preventive and corrective maintenance
-
CPMS operation (OCPP‑based)
-
Monitoring, troubleshooting, and remote support
3. Supplier Responsibilities
The Supplier shall:

Perform services professionally and in accordance with applicable standards
-
Deliver equipment according to specification
-
Provide support in accordance with the SLA
-
Comply with safety and documentation requirements
4. Customer Responsibilities
The Customer shall:

Perform all civil works (groundwork, trenching, conduits, foundations)
-
Ensure access to the site for installation and service
-
Provide correct electrical infrastructure
-
Follow operational and maintenance recommendations
5. Limitation of Liability
The Supplier is not liable for indirect losses, cf. Norwegian Sale of Goods Act § 67 (2), including but not limited to:
-
loss of profit
-
loss due to downtime
-
loss resulting from inability to use the equipment
-
loss of data
-
loss of goodwill
-
third‑party claims
The Supplier’s total liability is limited to the value of the specific delivery and shall never exceed six (6) months of service fees.
Exceptions apply only in cases of gross negligence or willful misconduct.
6. Term and Termination
The Agreement is effective from the date of signature and continues until terminated with 3 months’ written notice.
7. Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond their control.
8. Governing Law and Disputes
Disputes shall be resolved by negotiation. If unresolved, the case shall be brought before Oslo District Court.
